The AGM will be held on Friday, May 28 at 1:00pm. Business will include a management report, presentation of financial statements, and nominations for the board of directors.

The following special resolution will be presented to the membership:

  • Be it resolved by special resolution that the number of directors permitted at one time be increased from 12 to 14 as of the 2021 annual general meeting. This special resolution will be in place until the 2023 annual general meeting, at which time the number of directors permitted at one time will return to 12 (as stated in the by-laws), or to such number as the membership permits by a new special resolution.

Rationale: in the past 5 to 8 years, Heritage BC has undergone a considerable change – not just because the sector is undergoing change, but because the organization has been navigating operational and business model changes. Many of the directors who have been with us through this period will soon be leaving as they come to the end of their terms. Assessing the organization’s need for stability, the nominations committee and the Board of Directors have determined we should take proactive action to address succession. By increasing the board size now, we can engender positive growth, stability, and continuity.

A second reason is related to the changes within the sector. Over the past five years, we have worked to improve representation on the board so that we may reflect the complexity of the sector. The proposed slate (which includes an increase in the board size) allows us to further advance the diversity of personal, professional, and geographic experiences and representations. Again, the aim is to proactively address succession and continuity.
